Official Rules

The following promotion is intended for participants in the fifty (50) United States and Washington, D.C. only and shall be construed and evaluated according to the laws of the United States. Do not proceed in this promotion if you are not a legal resident of the fifty (50) United States or Washington, D.C. Further eligibility restrictions are contained in the official rules ("Official Rules") below. Participants are providing information to the Sponsor and not to Instagram. THIS PROMOTION IS IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY, OR ASSOCIATED WITH INSTAGRAM.

1. PROMOTION DESCRIPTION: The QDOBA Turkey Trot Giveaway (the "Promotion") begins on Thursday, November 27, 2025, at approximately 12:01:01 am Eastern Time ("ET") and ends on Friday, November 28, 2025, at 11:59:59 pm ET ("Promotion Period"). All eligible “Participants” who submit a valid “Submission”, as defined in Section 3 of these Official Rules, will be invited to receive a free “QDOBA Entrée” consisting of an entrée credit delivered via their QDOBA Rewards account, as described in Section 4. One (1) eligible Participant will be randomly selected to receive a digital QDOBA gift card equivalent to the retail value of “free QDOBA burritos for a year”, as defined in Section 5.

The sponsor of this Promotion is Qdoba Restaurant Corporation ("Sponsor"), 350 Camino de La Reina, 4th Floor, San Diego, CA 92108. The administrator of this Promotion is Creative Zing Promotion Group, 2100 E. Robinson Street, Orlando, FL 32803 ("Administrator"). The Sponsor and Administrator are collectively referred to below as the "Promotion Entities".

2. ELIGIBILITY: Promotion is open only to legal residents of the fifty (50) United States and Washington, D.C. (i.e., excluding Guam, Puerto Rico and all other U.S. territories and possessions), who are physically located and residing therein and who meet the following criteria (each, a “Participant”):

· Participant must be at least eighteen (18) years of age and the age of legal majority in their state of primary residence at time of participation;

· Participant must be a registered user of Instagram. Registration on Instagram is free and can be obtained at www.instagram.com.

· Participant must be a QDOBA Rewards member and have access to the QDOBA app. Membership in QDOBA Rewards is free and can be obtained at https://www.qdoba.com/rewards.

· Participant must NOT be an employee, shareholder, officer, director, agent or representative of the Promotion Entities, or any of their respective parent companies, affiliates, divisions, subsidiaries, agents, representatives or promotion and advertising agencies, nor can Participant be an Immediate Family Member and/or Household Member of such persons. For purposes of the Promotion, "Household Members" shall mean those people who share the same residence at least three months a year; "Immediate Family Members" shall mean parents, step-parents, legal guardians, children, stepchildren, siblings, stepsiblings or spouses.

3. HOW TO ENTER: If they have not already done so, Participant must follow the Sponsor’s Instagram profile at https://www.instagram.com/qdoba (“@QDOBA”) by logging into their Instagram account, then visiting @QDOBA and clicking the “Follow” button.

During the Promotion Period, eligible Participants must make a public Instagram post including a photo of themself dressed as a burrito while attending a Turkey Trot seasonal event, along with the hashtag #QDOBA_Giveaway (collectively, the “Submission”) in accordance with the requirements herein. Participant does not have to be registered for a Turkey Trot to participate in the Promotion.

If the Submission was previously posted to Instagram, it must be reposted during the Promotion Period. The hashtag #QDOBA_Giveaway must appear in the caption (not comments). Posts to Instagram Stories and Reels are not eligible.

The Participant must follow @Qdoba throughout the Promotion Period and for at least thirty (30) days thereafter (for potential notification purposes). Participant may unfollow @QDOBA after the thirty (30) day notification

period. PARTICIPANTS MUST VERIFY THEIR INSTAGRAM SETTINGS TO ENSURE THEY CAN RECEIVE POST COMMENTS AND DIRECT MESSAGES FROM @QDOBA.

The Submission must:

· Include the required hashtag #QDOBA_Giveaway

· Be wholly original to Participant; Participant must be the rightful owner and have the rights, title and interest necessary to utilize the Submission for the Promotion in compliance with these Official Rules; and · Comply with Instagram’s Terms of Use.

The Submission must NOT:

· Contain or reference any brand names, products or services of any company or any prominent third-party trademarks, copyrights, logos, trade dress or promotion of any brand, product or service, except those relating to QDOBA;

· Contain content, images or other material that is misleading, indecent, offensive, sexually explicit, tortious, disparaging, defamatory, slanderous, or libelous, or depicts an unsafe practice;

· Contain content, images, or other material that reflect, advocate, or promote bigotry, racism, hatred, harm, or exploitation of or against any class, group or individual, discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;

· Include any person other than the Participant, unless such person has provided their express written permission to appear in the Submission, proof of which may be requested. If any minors appear in the Submission, the Participant must be that minor’s parent and/or legal guardian;

· Contain any elements that were generated with the use of artificial intelligence of any kind; and

· Contain any derogatory references to any Promotion Entities or third party.

All Submissions must be posted by Friday, November 28, 2025 at 11:59 pm ET. Limit one (1) Submission per Participant for the duration of the Promotion Period. Any attempt to exceed the submission limitations through the creation of multiple accounts or fraudulent means may result in disqualification from the Promotion, at the sole discretion of the Promotion Entities. Submissions from private, disposable, or temporary social media accounts will be disqualified. The Promotion Entities reserve the right in their sole and unfettered discretion to disqualify any Submission that they believe is inappropriate or not suitable for publication, that does not comply with these Official Rules, or that is not consistent with the spirit or theme of the Promotion. Participants should consult with a physician or other medical professional before starting any exercise program. Submissions must comply with all applicable laws, rules, and regulations. Sponsor shall have no obligation to copy, publish, display, or otherwise exploit the Submissions. Participation in the Promotion constitutes Participant's understanding and full and unconditional agreement to these Official Rules. Promotion Entities reserve the right to disqualify any Participant they determine to be in violation of any term contained in these Official Rules. All Submissions become the property of Sponsor and may not be acknowledged. If Participant chooses to post a Submission via his or her web-enabled mobile device, data rates may apply. See the applicable wireless service provider for details on rates and capabilities.

Important – Grant of Rights: Participant’s Submission may appear on the Sponsor’s social media accounts including, but not limited to, Facebook, Twitter (X), TikTok, and Instagram. If Participant does not want his or her Submission to be made public, he or she should not participate in the Promotion. By entering the Promotion, Participants grant Sponsor the non-exclusive, royalty-free, and irrevocable rights to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit the Submission and to incorporate the Submission in other works in any and all markets and media worldwide, now known or hereafter developed, in perpetuity. Participants warrant that they have the sole and exclusive right to grant such rights to Sponsor and that the Sponsor's reproduction, publishing, displaying, and/or other use of the Submission will not infringe on any rights of third parties, including, without limitation, copyright, trademark, privacy, or publicity, or create claims for defamation, false light, idea misappropriation, intentional or negligent infliction of emotional distress, or breach of contract. If the Submission includes an identifiable person other than the Participant, the Participant represents and warrants that he/she has obtained the consent of such person to the use of the Submission as outlined herein and such person may be required to provide written consent to the Promotion Entities’ use of the Submission.

4. QDOBA Entrée Rewards: In conjunction with and within thirty days (30) of the end of the Promotion Period, each Participant who submits a valid Submission to the Promotion will be contacted via the Sponsor’s Instagram Profile @Qdoba in the form of a comment on their Submission post. The comment will direct the Participant to DM the email address associated with their QDOBA rewards account by a predetermined deadline in order to claim a free standard QDOBA entree via their QDOBA Rewards app (each a “QDOBA Entree”).

The Approximate Retail Value (“ARV”) of each QDOBA Entree is $12.50, which will be awarded via a credit applied to the Participants’ QDOBA Rewards account on the QDOBA app. One QDOBA Entree per person. Eligible Participants must provide their email address as directed in order to claim a QDOBA Entree.

Terms and conditions apply to redemption of the QDOBA Entree, as defined in the QDOBA Rewards App. Unclaimed QDOBA Entrees, if any, will go un-awarded. QDOBA Entree cannot be redeemed for cash.

5. Gift Card Prize: Within ten (10) business days of the end of the Promotion Period, one (1) Participant will be randomly selected to receive “Free QDOBA burritos for a year”, which is defined as the equivalent of one (1) standard QDOBA burrito (ARV $12.50) per week for fifty-two (52) weeks, to be awarded in the form of a $700 QDOBA digital gift card.

Cumulative ARV of all prizes available in the Promotion: $700. Gift card may be subject to additional restrictions, as determined by the card issuer.

The potential “Gift Card Winner” will be notified via Instagram in the form of a direct message or comment from @QDOBA. The potential Gift Card Winner will be required to respond (as directed) to the notification within forty-eight (48) hours (or a shorter time if required by exigencies) of attempted notification. The failure to respond within the stated time period may result in forfeiture of the Gift Card Prize. The potential Gift Card Winner will be required to verify address, sign, and return within forty-eight (48) hours of receipt one or more forms covering eligibility, liability, advertising and (unless prohibited by law) publicity rights and such other documents as Sponsor or Administrator may provide (collectively, “Prize Acceptance Forms”). Failure to return the Prize Acceptance Forms within the specified time period may result in forfeiture of the Gift Card Prize and selection of an alternate potential winner from the remaining eligible entries. Sponsor, in its sole discretion, will attempt to contact up to three (3) potential winners of the Gift Card Prize in accordance with the above procedure, after which the Gift Card Prize may go unawarded if it remains unclaimed. If the Gift Card Prize is awarded but goes unclaimed or is forfeited by recipient, such prize may not be re-awarded, in Promotion Entities’ sole discretion. Administrator reserves the right to disqualify anyone not fully complying with the Official Rules.

Odds of winning the Gift Card Prize depend on the number of eligible Submissions received during the Promotion Period. As the Gift Card Prize is valued greater than $600, the Gift Card Winner must provide Sponsor with a valid social security number before the Gift Card Prize will be awarded for tax reporting purposes and an IRS Form-1099 will be issued for the actual value of the Gift Card Prize received. Other restrictions may apply. If Gift Card Prize is awarded but goes unclaimed or is forfeited by recipient, the prize may not be re-awarded, in Promotion Entities’ sole discretion.

6. GIFT CARD PRIZE AND QDOBA ENTREE CONDITIONS: Gift Card Prize and all QDOBA Entrees (collectively, Promotion Incentives) will be awarded “as is” with no warranty or guarantee, either express or implied, by Sponsor. All Promotion Incentive details are at the sole discretion of the Sponsor. Promotion Incentive recipients cannot assign or transfer their Promotion Incentive to another person prior to claim. If a Promotion Incentive cannot be awarded due to circumstances beyond the control of Sponsor, a substitute Promotion Incentive of equal or greater retail value may be awarded. If a Participant cannot accept a Promotion Incentive, or any portion thereof, as stated, the Promotion Incentive may be forfeited at the sole discretion of Sponsor. The value of each Promotion Incentive represents Sponsor’s good faith determination of the maximum retail value thereof. No refunds or credit for changes are allowed. The ARV of Promotion Incentives are subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the Promotion Incentive is awarded or redeemed. Each Participant will be solely responsible for all federal, state and/or local taxes, if applicable, and for any other fees or costs associated with the Promotion Incentive they receive. The stated ARV of each Promotion Incentive is based on available information provided to Sponsor and the value of the Promotion Incentive awarded to a Participant may be reported for tax purposes as required by law. Other restrictions may apply.

7. CONDITIONS OF PARTICIPATION/RELEASES: Promotion is void where prohibited or restricted by law. All federal, state, and local laws and regulations apply. By participating, each Participant agrees to be bound by these Official Rules and the decisions of the Sponsor, which shall be final in all respects. By participating in this Promotion and/or by accepting a Promotion Incentive, each Participant agrees to indemnify, defend, hold harmless and release the Promotion Entities and each of their respective parent, subsidiary and affiliated companies, units and

sponsors, divisions and advertising and promotional agencies and Promotion Incentive suppliers and all entities involved in the production, sponsorship and/or promotion of the Promotion and/or Promotion Incentives, or any part thereof (collectively, the "Released Parties") from any and all liability for any actions, claims, injury, loss, damage, or expense, including reasonable attorneys’ fees and costs of any kind arising in any manner, directly or indirectly, from participation in this Promotion and/or acceptance or use of a Promotion Incentive. Each Participant authorizes the Promotion Entities to use his/her name, voice, likeness, biographical data, city and state of residence and Submission materials in programming or promotional material in any and all media, worldwide in perpetuity, or on a winner's list, if applicable, without further compensation unless prohibited by law. Promotion Entities are not obligated to use any of the above-mentioned information or materials, but may do so and may edit such information or materials at Promotion Entity’s sole discretion without further obligation or compensation. The Released Parties shall not be liable for: (i) late, lost, delayed, damaged, stolen, misdirected, postage-due, incomplete, unreadable, inaccurate, garbled or unintelligible entries, release forms, communications or affidavits, regardless of the method of transmission; (ii) phone system, phone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of participation or other materials; (iv) any and all losses, damages, rights, claims and action of any kind in connection with or resulting from participation in the Promotion; (v) acceptance, possession, grant, or use of any Promotion Incentive, including without limitation, personal injury, death and property damage arising therefrom; (vi) claims based on publicity rights, defamation or invasion of privacy; or (vii) any printing, typographical, human administrative or technological errors in any materials associated with the Promotion. Promotion Entities disclaim any liability for damage to any phone or computer system resulting from participating in or accessing or downloading information in connection with this Promotion. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Promotion (or any portion of the Promotion) should a virus, bug, computer problem, unauthorized intervention or other cause or problem corrupt or inhibit the administration, security or proper play of the Promotion and, in such situation, to award Promotion Incentives as described herein from among only eligible non-suspect Submissions received prior to and/or after such action or in such manner as deemed fair and appropriate by the Sponsor. Sponsor may prohibit you from participating in the Promotion or receiving a Promotion Incentive if, in its sole discretion, it determines you are attempting to undermine the legitimate operation of the Promotion by cheating, hacking, deception, or any other unfair playing practices or intending to annoy, abuse, threaten or harass any other participants or Sponsor's representatives. CAUTION: ANY ATTEMPT TO UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE PROMOTION. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

8. INDEMNITY: Participant shall indemnify, defend and hold harmless the Released Parties from and against any and all claims, damages, actions, liability, loss, injury or expense, including reasonable attorneys’ fees and costs, arising out of or in connection with: (a) Participant’s participation in the Promotion; (b) a breach or allegation which if true would constitute a breach, of any of Participant’s representations, warranties or obligations herein; and (c) acceptance, possession, grant, participation in, or use of any Prize, including without limitation, personal injury, death and property damage arising therefrom.

9. PRIVACY POLICY: Any personal information supplied by you to Sponsor will be subject to Sponsor's privacy policy posted at https://www.qdoba.com/privacy (“Sponsor’s Privacy Policy”). By entering the Promotion, you grant Sponsor permission to share your Instagram profile, email address, and any other personal information with the other Promotion Entities for the purpose of administration and Prize fulfillment. Sponsor will not sell, rent, transfer or otherwise disclose your personal data submitted in connection with your Submission to any third party other than the corresponding Promotion Entities and as explicitly described herein and in Sponsor’s Privacy Policy.

10. WINNER LIST/OFFICIAL RULES: To obtain a copy of the Gift Card Winner list or a copy of these Official Rules, send your request along with a stamped, self-addressed envelope to Creative Zing Promotion Group, ATTN: “QDOBA Turkey Trot Giveaway” Winner List/Rules, 2100 E. Robinson, Orlando, Florida, 32803. Winner list requests must be received no later than December 31, 2025. Vermont residents may omit return postage.

This Promotion is in no way sponsored, endorsed or administered by Instagram. Instagram is completely released of all liability by each Participant in this Promotion.
